3.1 AI Enablement Services

Strategic planning, opportunity identification, and governance framework establishment for AI adoption within your organization.

3.2 AI Orchestration Services

Multi-agent coordination, workflow automation, and execution of AI-powered business processes.

3.3 Integration Services

Connection with third-party tools including Cursor, GitHub, Supabase, and other approved integrations.

4.1 Account Creation

You must provide accurate, complete, and current information during registration. You are responsible for maintaining the confidentiality of your account credentials.

4.2 Account Security

You must immediately notify us of any unauthorized access to your account. We implement industry-standard security measures but cannot guarantee absolute security.

4.3 Multi-Tenant Isolation

For users accessing multiple client accounts (e.g., consultants), we maintain strict data isolation between tenants with automated conflict detection.

6.1 Your Content

You retain all rights to your Customer Data. By using the Platform, you grant us a limited license to process your data solely to provide the Services.

6.2 Our Intellectual Property

The Platform, including our Constitutional Framework, multi-agent orchestration technology, and all associated intellectual property, remains our exclusive property. The Constitutional Framework constitutes proprietary intellectual property protected as trade secrets under applicable law.

6.3 Feedback

Any feedback you provide may be used by us without restriction or compensation to you.

7.1 AI Training Restriction

Customer Data is never used for model training without explicit opt-in consent. This is a fundamental privacy protection that cannot be overridden by any other provision.

7.2 AI Output Disclaimer

AI Agents operate with inherent uncertainty. All outputs are provided "as-is" without warranty. You retain full responsibility for validating AI recommendations before implementation, especially for critical business decisions.

7.3 Multi-Agent Processing

Multi-agent orchestration operates under strict data minimization principles with automatic data expiration after task completion. Agent interactions are logged for quality assurance and debugging purposes only.

7.4 Constitutional AI Governance

Our Constitutional Framework ensures quality and alignment across all AI operations while remaining proprietary. High-level principles may be shared publicly, but implementation details are confidential.

8.1 Data Processing

We process data in accordance with our Privacy Policy, which is incorporated by reference into these Terms.

8.2 Data Location

You may choose data residency options including cloud deployment, private cloud, or on-premise installation for sensitive operations.

8.3 Third-Party Processors

We maintain Data Processing Agreements with all sub-processors. Current sub-processors are listed in our Privacy Policy.

9.1 Mutual Confidentiality

Both parties agree to maintain the confidentiality of any proprietary information shared during the use of Services.

9.2 Exceptions

Confidentiality obligations do not apply to information that:

• Is or becomes publicly available through no breach
• Was rightfully known before disclosure
• Is independently developed
• Must be disclosed by law (with notice when permitted)

10.1 Availability

• Enterprise Tier: 99.9% uptime SLA
• Business Tier: 99.5% uptime SLA
• Free Tier: No SLA guarantees

10.2 Support Response Times

• Enterprise: 1-hour initial response for critical issues
• Business: 4-hour initial response for critical issues
• Free: Community support only

11.1 Subscription Plans

We offer the following subscription plans (all prices in USD):

• Free Plan: $0/month - 100 initial credits, 3 active projects, 1 team member
• Pro Plan: $29/month - 1,000 credits/month, 10 active projects, 5 team members
• Small Teams Plan: $99/month - 1,000 credits/workspace/month, 50 active projects, 20 team members
• Enterprise Plan: Custom pricing - 10,000 credits/month, unlimited projects & team members

11.2 Credit System

• Credit Value: 1 credit = $0.01 USD
• Credit Packages:
  • Starter Pack: $10 = 1,000 credits
  • Growth Pack: $25 = 2,500 credits
  • Business Pack: $50 = 5,000 credits
  • Scale Pack: $100 = 10,000 credits
• Usage: Credits are consumed based on actual AI model costs from OpenRouter with no markup

11.3 Billing

• Subscriptions are billed monthly or annually (with discount) in advance
• All fees are non-refundable except as required by law
• Credits do not roll over to subsequent billing periods

11.4 Price Changes

We may adjust prices with 30 days' notice. Continued use after the notice period constitutes acceptance.

11.5 Taxes

You are responsible for all applicable taxes, excluding taxes based on our net income.

12.1 Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

12.2 Limitation of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM.

12.3 Exclusions

WE SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS OR BUSINESS OPPORTUNITIES.

12.4 AI-Specific Limitations

Given the probabilistic nature of AI systems, we cannot guarantee specific outcomes or accuracy levels. Users acknowledge this inherent uncertainty.

14.1 Retention Periods

• Operational Data: 30 days after account closure
• Security Logs: 2 years
• Compliance Records: 7 years
• AI Interaction Logs: 90 days (unless extended for safety/legal reasons)

14.2 Deletion Rights

You may request data deletion in accordance with applicable law. Some data may be retained for legal or legitimate business purposes.

15.1 Regulatory Compliance

We maintain compliance with GDPR, CCPA, PIPEDA, and other applicable data protection regulations.

15.2 Audit Rights

Enterprise customers may request annual security audits subject to reasonable notice and confidentiality agreements.

15.3 Certifications

We maintain SOC 2 Type II certification and are pursuing additional certifications as we scale.

16.1 Termination by You

You may terminate your account at any time through the Platform settings.

16.2 Termination by Us

We may suspend or terminate your account for Terms violations or non-payment.

16.3 Effect of Termination

Upon termination, your right to use the Platform ceases immediately. Data export is available for 30 days post-termination.

18.1 Governing Law

These Terms are governed by the laws of Ontario, Canada, without regard to conflict of law principles.

18.2 Dispute Resolution

Any disputes shall be resolved through binding arbitration under the rules of the ADR Institute of Canada, except where prohibited by law.

18.3 Class Action Waiver

You waive any right to participate in class action lawsuits against us.

20.1 Entire Agreement

These Terms, together with our Privacy Policy and any applicable DPAs, constitute the entire agreement between you and WorkLearn Labs Inc.

20.2 Severability

If any provision is found unenforceable, the remaining provisions shall continue in effect.

20.3 No Waiver

Our failure to enforce any provision shall not constitute a waiver of that provision.

20.4 Assignment

You may not assign these Terms without our written consent. We may assign our rights to any successor or affiliate.
